Ventura Developer Tools Terms

These Ventura Developer Tools Terms (these “Developer Tools Terms”) govern the use of the Developer Tools and are incorporated by reference into the Ventura Platform Terms. Some terms used but not defined in these Developer Tools Terms are defined in the Ventura Platform Terms or other Supplemental Materials.
1. Definitions
“Developer Tools” means API(s), software, software development kits, plugins, content, code, keys, and credentials, and all related documentation, that TTD makes available to you, all of which are Ventura Products.
“Updates” mean any modification, upgrades, or updates to the Developer Tools made available by TTD.
2. Developer Tools
2.1 You may use the Developer Tools in accordance with TTD’s documentation to design, develop, integrate, implement, test, operate, maintain, support, and distribute Materials and to otherwise access and use certain Ventura Products and any third-party products or services relating to the Ventura Products. Your use of those Ventura Products or third-party products or services are governed by, and you must comply with, any Supplemental Materials applicable to those Ventura Products or third-party terms applicable to those third-party products or services, as the case may be.
2.2 You must prioritize any Updates according to TTD’s instructions and must implement any Updates as soon as commercially reasonable.
2.3 Promptly following TTD’s request, you will discontinue all use and display of any data, content and information relating to the Ventura Products, and delete all such data, content and information, in its possession or control.
3. License
Subject to your continued compliance with the Ventura Platform Terms (including, for purposes of clarity, these Developer Tools Terms), TTD grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferrable, non-assignable license to use, access, and integrate with, the Ventura Products solely as permitted under these Developer Tools Terms and any documentation provided by TTD.
4. Restrictions
In addition to the restrictions set forth in the Ventura Platform Terms, you must: (a) use any access keys, tokens or other credentials provided by TTD when accessing the Developer Tools; (b) not share such credentials with any third party; (c) protect all such credentials against unauthorized access, use, and disclosure; (d) promptly notify TTD if you become aware of or suspect any such unauthorized activities; (e) not mispresent or attempt to mask your identity when accessing the Developer Tools; (f) not use the Developer Tools in a manner that, as determined by TTD, exceeds reasonable request volume; or (g) not remove, obscure, or alter any legal, copyright, trademark, or other proprietary notice contained in the Ventura Products, or falsify or delete any author attributions, legal notices, or other labels of the origin or source of material.
5. Entire Agreement
The Ventura Platform Terms (including, for purposes of clarity, these Developer Tools Terms) set forth the entire understanding and agreement between TTD and you relating to the Developer Tools and supersede all other agreements between TTD and you relating to the Developer Tools.
