Trade Desk Political Advertising Terms

These Trade Desk Political Advertising Terms (these “Political Terms”) are incorporated into and made part of the Trade Desk Advertising Terms (collectively with these Political Terms and the Trade Desk Advertising Agreement or other partnership agreement entered into between TD and Company, the “Agreement”). Any capitalized terms used but not defined in these Political Terms have the meaning ascribed to them in the Advertising Agreement or Trade Desk Advertising Terms.
1. Definitions
“Laws” are all applicable laws, rules, regulations, government guidance and applicable self-regulatory codes, including any such political advertising requirements contained therein.
“Political Ad” has the meaning set forth in the Political Advertising Policies section of TD’s Ad Content Guidelines.
“Political Ad Requirements” are reporting, disclosure, targeting restrictions and other obligations required by TD or its Inventory Partners for serving Political Ads.
“Political Campaign Information” is information related to a Political Ad. Political Campaign Information may include the name and address of the advertiser, the name of the entity paying for the Political Ad, the duration of the campaign, the aggregate audience size, evidence of required Political Licenses, and the creative assets, or any other information required by Laws.
“Political License” is any license, certification, registration, authorization, or other permission required by Laws for the serving of any Political Ads.
2. Political Ad Requirements
2.1 TD will make the Political Ad Requirements available in TD’s Ad Content Guidelines located in the TD Wiki (or successor URL) and may update such Political Ad Requirements from time to time. Company shall comply with all Political Ad Requirements set forth in TD’s Ad Content Guidelines.
2.2 Upon TD’s request (including via an intake process on the Platform), Company shall promptly provide TD with all requested Political Campaign Information.
2.3 Company shall categorize all Political Ad campaigns as such. Company shall select “Law, Gov’t & Politics” in the “Industry Category” field (or any such successor category field) on the Platform and shall always and accurately input the industry subcategory, if applicable.
2.4 Company authorizes TD to disclose Political Campaign Information to third parties if required by Laws, the Political Ad Requirements, Inventory Partners or if TD chooses to maintain a publicly accessible database of Political Campaign Information. Company hereby waives any claims that any such disclosure violates any confidentiality obligations or data restrictions set forth in the Agreement.
2.5 Company shall not use any dynamic creative optimization, or similar creative-swapping techniques, in the serving of any Political Ads on the Platform.
3. Representations and Warranties
In addition to any other representations and warranties in the Agreement, Company represents and warrants that: (a) all Political Campaign Information provided by Company (or its clients) to TD must be true and accurate; (b) if required by Law, it (or, if applicable, its client) shall have and maintain a valid Political License and all Political Ads will comply with the terms of any such applicable Political License; (c) if a Political License is terminated, suspended, or amended in any material way, Company will immediately inform TD and, if necessary, to comply with applicable Laws or the Political Ad Requirements, remove Political Ads from the Services; (d) Company and its clients shall comply with all applicable Laws; (e) Company shall immediately inform TD if it, or its client, is the subject of any investigation related to its Political Ads by any governmental authority or any self-regulatory organization; (f) all indirect or direct purchasers of the Political Ad inventory shall be located within the country of origin where the election or related political activity is occurring if in the United States, or where permissible by Laws, if outside the United States; and (f) all of Company’s political segments are comprised solely of users residing within the country where Company is registered and located if in the United States, or where permissible by Laws, if outside the United States.
4. Compliance
TD reserves the right to review Company’s compliance with these Political Terms and Company shall provide TD with cooperation during any such review. TD reserves the right to suspend Company’s Political Ad campaigns at any time in TD’s sole discretion. Nothing herein shall limit Company’s responsibility to comply with all applicable Laws associated with the serving of Political Ads. Failure to comply with TD’s Ad Content Guidelines and the Political Ad Requirements set forth therein may result in information about Company’s account and Political Ads being disclosed publicly or to relevant government agencies and regulators.
5. Indemnification; Limitation of Liability
In addition to any other indemnification obligations in the Agreement, if Company violates these Political Terms, Company shall indemnify, defend and hold harmless the TD Parties against any Liabilities incurred by the TD Parties in connection with any third party claim arising out of or relating to such violation, including if such violation results in TD’s failure to comply with applicable Laws with respect to the serving of the Political Ads. Notwithstanding anything to the contrary in the Agreement, Company’s liability for breach of these Political Terms shall not be subject to any restriction or limitation.
6. Miscellaneous
TD’s failure to disallow or block any Political Ads served by Company will not be construed as an approval thereof. The existence of these Political Terms shall be deemed TD Confidential Information. In the event of a conflict between these Political Terms, the Trade Desk Advertising Terms, or the Trade Desk Advertising Agreement or other partnership agreement entered into between TD and Company, these Political Terms shall govern. Except as expressly modified herein, all of the other terms and conditions of the Agreement shall remain in full force and effect.
