Third party access terms
These Third Party Access Terms (“Terms”) govern The Trade Desk’s (“TD”) grant of access to Company’s account(s), including any data therein, to the Approved Third Party. Capitalized terms used but not defined shall have the meaning set forth in the Master Services Agreement or other advertising buying partnership agreement between TD and Company (the “Agreement”).
- Company has requested that the Approved Third Party be provisioned with the requested access type to Company’s identified account(s), including the data therein (“Company Account”) for the approved use.
- Company shall ensure that the Approved Third Party (i) uses its access to the Company Account solely for Company’s (or, if applicable, its advertiser’s) benefit and solely as required for the approved use and for no other purpose and (ii) complies with all terms applicable to account access and data usage in the Agreement.
- Company shall be fully liable and hereby agrees to indemnify and hold harmless TD from and against all claims resulting from actions or inactions of the Approved Third Party related to or arising out of the Approved Third Party’s access to Company Account. Notwithstanding anything contained in the Agreement to the contrary, no limitation of liability shall apply to any claims arising out of or relating to any actions or inactions of the Approved Third Party under or with Company Account. Company further agrees that TD shall incur no liability and hereby releases all claims (now or in the future) against TD for allowing or facilitating the requested access.
- TD reserves the right to discontinue access to the Approved Third Party in its sole discretion.
