GroupM – Mindshare third party access terms
These terms and conditions (“Terms”) govern The Trade Desk’s (“TD”) grant of access to the Approved Third Party. These Terms are between Company and TD and are governed by and subject to that certain Master Services Agreement or Participation Agreement (as applicable) (“Agreement”) between the parties. Capitalized terms used but not defined herein shall have the meaning set forth in the Agreement.
At the request of its advertiser client (“Advertiser”), Company wishes to provide to the Approved Third Party the requested access type to Company’s identified account(s) (the “Account Access”) operated on behalf of its Advertiser’s and requests TD to make such Advertiser’s accounts and the data therein (“Account Data”) (including via API), available to the Approved Third Party for the approved use (the “Third-Party Use ”). Company shall ensure that the Approved Third Party (i) uses the Account Access solely for Company’s and Advertiser’s benefit and solely as required for the approved use for Company and Advertiser and for no other purpose, and (ii) is aware of, and complies with, all restrictions for the use of the Account Access. Company shall be fully liable, and hereby agrees to indemnify and hold TD harmless, for all actions and inactions of the Approved Third-Party with respect to the Account Access, and the limitation of liability in the MSA shall apply to the foregoing.
For the avoidance of doubt, neither Company, Advertiser’s nor the Approved Third-Party may combine the Account Data with any directly identifying information (i.e., data that directly identifies or reasonably can be used to directly identify an individual, including name, raw (unhashed) email address, postal address, phone number, or government identifier) or use the Account Data to, or attempt to, directly identify an individual.
For the avoidance of doubt, this letter is subject to the terms of the Agreement.
